Senwell Senior Investment Advisors is pleased to announce the successful sale of a seniors housing campus located in the Charlotte, NC MSA. The campus consists of two facilities totaling 146 licensed beds, including a 50-bed skilled nursing facility and a 96-licensed-bed assisted living facility.
The seller, a faith-based nonprofit organization, had owned the campus for decades and engaged Senwell to help evaluate their options as a long-term tenant-operator lease was approaching expiration. Senwell explored both a lease and a sale of the campus before advising that a complete disposition was the best path forward for this client’s situation. With that direction established, Senwell launched a confidential marketing process that generated multiple competitive offers.
After a thorough evaluation, the sellers selected a regional owner-operator as the winning bidder. The transaction carried significant structural complexity. Senwell guided both the buyer and seller through simultaneous negotiations, including a real estate purchase agreement between the buyer and seller, a land lease for a portion of the campus, and a separate operating transfer agreement between the buyer and the outgoing tenant-operator. Each involved independent parties, separate legal counsel, and different interests that all had to align for the deal to close. Additional regulatory requirements included a Change of Ownership application and North Carolina Attorney General approval stemming from the nonprofit-to-for-profit nature of the transfer.
Senwell served as the central point of coordination across all parties throughout the process, keeping the transaction on track despite delays and obstacles at multiple stages. The deal ultimately closed successfully, transitioning the campus to a qualified regional operator well-positioned to serve the residents and community for years to come.
